Terms of Service | GTM Diagnostic

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the GTM Diagnostic website at www.gtmdiagnostic.com and the related assessment, reports, and content (collectively, the “Service”). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Service. You agree to provide accurate information when prompted (for example, your name, title, company, work URL, and email) and to keep that information current.

3. The diagnostic and reports

The diagnostic and any resulting report, score, summary, or recommendation are provided for informational purposes only. They are not investment, legal, financial, tax, accounting, or professional advice, and should not be relied upon as the sole basis for any business decision. Results depend on the inputs you provide and the models we use, both of which can be incomplete or wrong.

4. Acceptable use

You agree not to:

use the Service in violation of any law or third-party right;
attempt to probe, scan, reverse engineer, or breach the security of the Service or its underlying infrastructure;
upload content that is unlawful, infringing, defamatory, harmful, or that contains malware;
use automated means to scrape, crawl, or harvest the Service beyond what robots.txt permits;
misrepresent your identity, employer, or affiliation when submitting an assessment.

5. Intellectual property

The Service, including its methodology, content, branding, design, and software, is owned by GTM Diagnostic and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your internal business or personal evaluation. You retain ownership of the information you submit, and you grant us a license to host, store, process, and analyze that information to provide the Service.

6. Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GTM DIAGNOSTIC AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

9. Indemnification

You agree to defend, indemnify, and hold harmless GTM Diagnostic from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or your breach of these Terms.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Sections that by their nature should survive termination will survive.

11. Changes

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising from these Terms or the Service.
